1. Scope

​

These terms and conditions apply to all quotes, order confirmations and agreements between noDNAgency (Fennec Group CommV, hereinafter "noDNAgency") and the client, for all services including but not limited to: AI ad campaigns, AI visuals, AI influencers & models, and AI music for retail.

By placing an order or signing a quote, the client accepts these terms in full and without reservation.

2. Formation of agreement

​

An agreement is formed at the moment the client returns a digitally signed order confirmation or quote to noDNAgency. Verbal agreements, confirmations via chat or other informal communication are not binding.

noDNAgency will not begin executing an assignment until a signed order confirmation has been received and payment conditions per article 4 have been met.

3. Delivery timelines

​

Delivery timelines are confirmed in writing per assignment in the order confirmation. The delivery timeline starts from the moment all materials requested by noDNAgency (such as product shots, briefing, logos) have been provided by the client, and payment or signature per article 4 has been received.

Delays caused by the client — including late delivery of materials or late approval — automatically suspend the delivery timeline by the duration of the delay. noDNAgency is not liable for exceeding the original delivery timeline in such cases.

4. Payment

​

4.1 Payment terms

All invoices are payable within 7 calendar days of invoice date, unless agreed otherwise in writing. All stated prices are exclusive of VAT unless explicitly stated otherwise.

4.2 Drop Deals

When ordering a Drop Deal (annual ad commitment), the full amount is due upon signing the order. No work will be scheduled until payment has been received.

4.3 Late payment

In the event of non-payment on the due date, a late payment interest of 1% per month on the outstanding amount is owed automatically and without notice, as well as a fixed compensation of 15% with a minimum of €75.

5. Revisions and approval

​

5.1 Revision rounds

The following revision rounds are included per assignment:

• 1 revision round at the draft stage

• 2 revision rounds at the ad stage

Additional revision rounds beyond this scope are charged at €50 per round.

5.2 Approval

All approvals must be confirmed in writing via email. Verbal approvals or confirmations via chat are not legally valid. noDNAgency is not responsible for changes requested after a written approval has been given.

6. Delivery

​

Files are delivered via a shared Google Drive folder. The client receives access to this folder upon completion of the assignment. Delivery in other formats or via other channels is only possible by written agreement and may result in an additional charge.

7. Intellectual property and usage rights

​

7.1 Ownership upon payment

Upon full payment of the invoice, noDNAgency transfers all commercial usage rights to the client. The client may use the delivered files without restriction for commercial purposes, without time limitations and in all available formats, unless otherwise stipulated in the agreement.

7.2 Portfolio and promotion

noDNAgency retains the right to use delivered work for portfolio and promotional purposes, unless the client raises prior written objection or a non-disclosure and exclusivity agreement has been signed. noDNAgency will never reference multiple clients simultaneously in the same promotional material.

7.3 Submitted materials

The client warrants that all submitted materials (including product shots, logos, texts and imagery) are free from third-party rights, or that the client is authorised to use them. The client fully indemnifies noDNAgency against third-party claims arising from a breach of this warranty.

7.4 Custom Brand Models

A Custom Brand Model is linked exclusively to the client if a separate exclusivity agreement has been signed. The one-time setup fee covers the creation of the model; future ad sets featuring the model are invoiced at the then-current standard rates. noDNAgency retains the right to use the technical assets internally, but never for or on behalf of other clients.

8. AI-generated content

​

8.1 Nature of the content

All images, videos and audiovisual material delivered by noDNAgency are fully generated via artificial intelligence. No real models, persons, locations or photographers are involved unless explicitly stated otherwise.

8.2 Resemblance to existing persons

Any resemblance of AI-generated images to existing persons, living or deceased, is purely coincidental and beyond noDNAgency's control. noDNAgency is not liable for any claims arising from such resemblance.

8.3 Client responsibility

The client is solely responsible for the legal assessment of delivered material prior to publication, including compliance with local laws and regulations, platform guidelines (such as Meta, TikTok, Google) and sector-specific rules. noDNAgency does not provide legal advice and makes no guarantees regarding platform approval.

9. Cancellation and refunds

​

9.1 After delivery

No refunds are provided after delivery of files, regardless of reason.

​

9.2 Cancellation before delivery

Cancellation after signing the order but before the start of production: 30% of the order amount is owed as compensation for preparatory costs incurred.

Cancellation during active production: 50% of the order amount is owed.

​

9.3 Drop Deals

Upon early cancellation of a Drop Deal, remaining unused sets are invoiced at 30% of the price per set.

10. Liability

​

10.1 Limitation

The liability of noDNAgency is in all cases limited to the amount invoiced and paid for the relevant assignment.

​

10.2 Exclusions

noDNAgency is not liable for:

• Ad performance, conversion results or return on investment

• Rejection of advertisements by platforms or ad networks

• Indirect damage, consequential loss or loss of profit

• Damage caused by incorrect or incomplete information provided by the client

11. Confidentiality

​

noDNAgency treats all client information as strictly confidential and will not share it with third parties, except where required by law. Client information will never be combined with or referenced alongside information from other clients in any document or communication.

12. Amendments

​

noDNAgency reserves the right to amend these terms. The terms in force at the time of the order apply to that assignment. Clients are not automatically notified of amendments; it is the client's responsibility to consult the most recent version via the website.

13. Governing law and jurisdiction

​

All agreements between noDNAgency and the client are governed exclusively by Belgian law. Any disputes fall under the exclusive jurisdiction of the court of Antwerp.
